Terms & Conditions (B2B)
These terms govern sales to business customers. They cover offers, artwork approval, payment, delivery, complaints, liability and the applicable law.
1. Scope and business customers only
1.1. These terms and conditions apply to all contracts for the sale of goods, including branding, between EnjoyGroup Sp. z o.o., ul. Brzeska 8/4, 21-500 Biała Podlaska, Poland, KRS 0001143543, NIP 5372686054 ("we", "the Seller") and its customers ("the Customer"), concluded via this website, by email or otherwise.
1.2. We sell exclusively to businesses, legal persons, public bodies and other organisations acting in a professional capacity. We do not sell to consumers. By placing an order, the Customer confirms that it is acting in this capacity and that the contract is of a professional nature for it. We may ask for proof, such as a company registration or VAT number, and may decline an order if it is not provided.
1.3. As the contracts are concluded between businesses, the statutory right of withdrawal available to consumers does not apply. Goods branded with the Customer's logo are, in addition, made to the Customer's specification.
1.4. The Customer's own terms and conditions apply only if we have expressly accepted them in writing.
2. Information on the website and offers
2.1. Product presentations, prices and the branding calculator on the website are for information and do not constitute a binding offer. Prices on the website are per piece, excluding VAT and excluding branding; the calculator provides an indicative estimate only.
2.2. On the basis of the Customer's request, we prepare an individual offer stating the products, quantities, branding, price, delivery terms and, where applicable, the validity of the offer.
3. Conclusion of the contract
3.1. The contract is concluded when the Customer confirms our offer in writing (email is sufficient) or when we confirm the Customer's order in writing.
3.2. Changes to quantity, products or branding after conclusion of the contract require our written confirmation and may affect the price and delivery date.
4. Artwork, proofs and tolerances
4.1. The Customer supplies the artwork and is responsible for its content. The Customer confirms that it holds all rights needed to use the logos, trademarks and other materials it provides, and will hold us harmless from third-party claims arising from their use in accordance with the order.
4.2. Before production we provide a free digital proof. Production starts only after the Customer approves the proof in writing. By approving it, the Customer accepts the text, spelling, layout, size, position and colours shown; we are not responsible for errors contained in an approved proof.
4.3. A digital proof is a visualisation. Colours on screen and on paper differ from colours on the finished product, and the result depends on the material and the branding method. Minor deviations in colour, position and size, as well as small differences between individual items, are customary in the industry and do not constitute a defect. Where a Pantone reference is given, we match it as closely as the material and method allow.
4.4. Where the offer provides for customary production tolerances in quantity, the price is adjusted to the quantity actually delivered.
5. Prices and payment
5.1. Prices are stated in the offer and are exclusive of VAT. VAT is added where applicable. Supplies to business customers in other EU member states with a valid VAT ID verified in VIES are invoiced under the reverse-charge mechanism. Details are set out on our VAT and invoicing page.
5.2. Payment is made by bank transfer on the basis of our invoice within the payment term stated in the offer or invoice. For new customers, and in other justified cases, we may require prepayment in full or in part, as agreed in the offer.
5.3. In the event of late payment, we are entitled to statutory interest for delay in commercial transactions and to compensation for recovery costs in accordance with Polish law. We may suspend further deliveries until overdue amounts are paid.
5.4. The goods remain our property until the price has been paid in full.
6. Delivery
6.1. Delivery terms, costs and the expected delivery date are stated in the offer. Delivery dates are estimates unless expressly agreed as binding. They depend on the timely approval of the proof, the provision of correct delivery details and, where agreed, receipt of prepayment.
6.2. Unless otherwise agreed, the risk of accidental loss or damage passes to the Customer when the goods are handed over to the carrier.
6.3. For deliveries outside the EU, in particular to the United Kingdom and Switzerland, the offer states who is responsible for customs formalities, duties and import taxes.
7. Inspection and complaints
7.1. The Customer shall inspect the goods promptly after receipt. Visible defects, missing items and transport damage must be reported to us in writing without undue delay, with photographs and the order number; transport damage should also be noted with the carrier on delivery. Hidden defects must be reported without undue delay after discovery.
7.2. If a complaint is justified, we will, at our option, rebrand or replace the defective goods, or reduce the price accordingly. If replacement or rebranding is not possible or fails, the Customer may withdraw from the contract in respect of the defective goods.
7.3. Deviations within the tolerances described in section 4, and errors contained in an approved proof, do not constitute defects. The procedure is described on our complaints and returns page.
7.4. To the extent permitted by law, the Customer's rights in respect of defects are limited to those set out in this section, and the provisions of the Polish Civil Code on statutory warranty for defects (rękojmia) apply only insofar as they are not modified by these terms.
8. Liability
8.1. Our liability for damage arising from the contract is limited to the net value of the order concerned. We are not liable for lost profits or indirect and consequential damage.
8.2. These limitations do not apply to damage caused intentionally or through gross negligence, or where liability cannot be limited under mandatory law.
8.3. We are not liable for delays or non-performance caused by events beyond our reasonable control, such as natural disasters, strikes, disruptions in transport or supply, or acts of public authorities. In such cases, delivery dates are extended for the duration of the event.
9. Customer materials
The Customer grants us the right to use the artwork it provides to the extent necessary to perform the order. We do not use the Customer's logo or the delivered goods for our own advertising without the Customer's consent. Personal data is processed in accordance with our privacy policy.
10. Governing law and jurisdiction
10.1. The contract is governed by the law of the Republic of Poland, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
10.2. The court having jurisdiction over the Seller's registered office has exclusive jurisdiction over all disputes arising from or in connection with the contract.
11. Final provisions
11.1. Declarations under the contract may be made in writing or by email, unless mandatory law requires a stricter form.
11.2. If any provision of these terms is or becomes invalid, the remaining provisions remain in force. The invalid provision shall be replaced by a valid one that comes closest to its economic purpose.
11.3. These terms are available in several languages. The version in the language in which the contract was concluded applies.
